We grant you a limited, non-exclusive, non-transferable license to:

This license does not include any rights to:

• Resell or commercially use any Platform content
• Collect and use any product listings or descriptions
• Make derivative uses of the Platform or its contents
• Use data mining, robots, or similar data gathering tools

6.3 User Content

By posting or submitting content to the Platform:

• You grant us a royalty-free, perpetual license to use such content
• You represent that you have the right to share such content
• You agree that we may modify, adapt, or edit your content

7. User Obligations and Conduct

7.1 Compliance with Laws

You agree to comply with all applicable laws and regulations, including:

• Securities and financial regulations in your jurisdiction
• Anti-money laundering (AML) and counter-terrorism financing (CTF) laws

8. Prohibited Activities

You may not use our Platform to:

• Engage in market manipulation or abusive trading practices
• Violate any laws, statutes, ordinances or regulations
• Infringe upon our or any third party's intellectual property rights
• Harass, abuse, or harm another person
• Upload or transmit viruses or other malicious code
• Collect information about others without their consent
• Interfere with or disrupt the Platform or servers
• Attempt to gain unauthorized access to any part of the Platform
• Use any automated system, including "robots" or "spiders"
• Participate in money laundering or terrorist financing activities
• Provide false, inaccurate, or misleading information
• Create accounts through unauthorized means

9. Limitation of Liability

9.1 No Warranty

The Platform is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to:

• Warranties of merchantability
• Fitness for a particular purpose
• Non-infringement of intellectual property
• Accuracy, reliability, or completeness of content

9.2 Limitation of Damages

In no event shall TradingPlatform, its directors, officers, employees, or agents be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, use, goodwill, or other intangible losses
• Damages relating to your access to, use of, or inability to access or use the Platform
• Damages relating to any conduct or content of any third party on the Platform
• Unauthorized access, use, or alteration of your transmissions or content

9.3 Maximum Liability

Our total cumulative liability to you for all claims arising from or related to these Terms or your use of the Platform shall not exceed the greater of:

• The total commissions paid by you to us in the six months preceding the event giving rise to the claim, or
• One hundred U.S. dollars (USD $100)

10. Indemnification

You agree to defend, indemnify, and hold harmless TradingPlatform and its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Platform, including but not limited to:

• Your User Contributions
• Any use of the Platform's content, services, and products other than as expressly authorized
• Your connection to the Platform
• Your violation of any third-party right, including without limitation any copyright, property, or privacy right

11. Termination

11.1 Termination by You

You may terminate your account at any time by contacting customer support or through account settings, subject to:

• Settlement of any outstanding fees or charges
• Resolution of any pending transactions
• Completion of any regulatory reporting requirements

11.2 Termination by Us

We may suspend or terminate your access to the Platform:

• Immediately, if we suspect fraudulent, illegal, or abusive activity
• With notice, for violation of these Terms
• For any other reason at our sole discretion

11.3 Effect of Termination

Upon termination:

• Your right to use the Platform will immediately cease
• We may delete your account information and content
• You remain liable for all amounts due up to the date of termination
• Provisions of these Terms that by their nature should survive will survive

12. Dispute Resolution

12.1 Informal Resolution

Before filing a claim, you agree to try to resolve the dispute informally by contacting support@tradingplatform.com. We'll try to resolve the dispute informally by contacting you via email.

12.2 Arbitration Agreement

Except for certain types of disputes described in the Arbitration section below, you agree that disputes between you and TradingPlatform will be resolved by binding, individual arbitration and you waive your right to participate in a class action lawsuit or class-wide arbitration.

12.3 Exceptions

Either party may bring a lawsuit solely for injunctive relief to stop unauthorized use or abuse of the Platform, or intellectual property infringement without first engaging in arbitration.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Wilmington, Delaware, and you hereby consent to personal jurisdiction and venue in such courts.

Notwithstanding the foregoing, we may seek injunctive or other equitable relief to protect our intellectual property rights in any court of competent jurisdiction.

14. Changes to Terms

We may modify these Terms from time to time. When we make changes, we will post the revised Terms on our Platform and update the "Last Updated" date.

We will provide notice of material changes via email or through the Platform. By continuing to use the Platform after changes become effective, you agree to be bound by the revised Terms.

If you do not agree to the new Terms, you must stop using the Platform and terminate your account.
